These Terms of Service (“Terms”) govern your access to and use of workpaperstudio.com (the “Site”) and certain related services provided by Workpaper Studio LLC (“Workpaper Studio,” “we,” “us”).

IMPORTANT: Use of the Workpaper Studio Software is governed by the End User License Agreement (EULA). If these Terms conflict with the EULA regarding the Software, the EULA controls.

1. Acceptance
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. The Site
The Site provides information about Workpaper Studio and may provide links to downloads, documentation, and purchase options. We may change or discontinue Site features at any time.

3. Purchases, Merchant of Record, and Taxes
Purchases of subscriptions may be processed by a third-party Merchant of Record (“MoR”) (currently planned: Lemon Squeezy). The MoR may act as the seller of record for payment, taxes, invoicing, refunds, and compliance. Your purchase may be subject to the MoR’s terms and policies in addition to these Terms.

4. Subscription Terms
Workpaper Studio Pro is offered on a subscription basis (annual). Subscription details shown at checkout (including pricing and regional pricing) control.

Subscriptions may renew automatically on an annual basis unless canceled before renewal, as disclosed at checkout by the Merchant of Record.

You can cancel a subscription through the Merchant of Record customer portal or receipt link. If you cannot access the portal, contact support@workpaperstudio.com, text/call (312) 265-3020, or fax (872) 345-0293 and we will help route your request.

5. Refund Policy
We offer a 14-day refund window from the date of purchase, subject to the payment provider/Merchant of Record’s requirements and limitations. Refund eligibility may be affected by factors such as chargebacks, fraud prevention, or legal/tax compliance rules.

To request a refund, use the purchase receipt portal provided by the Merchant of Record or contact support@workpaperstudio.com, text/call (312) 265-3020, or fax (872) 345-0293 with your purchase email and transaction details.

6. Acceptable Use
You agree not to:
- Use the Site for unlawful purposes
- Interfere with or disrupt the Site
- Attempt to access non-public systems or data
- Misrepresent your identity or affiliation

7. Intellectual Property
The Site and its content (text, graphics, logos, and design) are owned by Workpaper Studio or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Site content without permission, except as allowed by law.

8. Third-Party Links
The Site may include links to third-party websites or services. We do not control those services and are not responsible for their content, policies, or practices.

9. Disclaimer
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKPAPER STUDIO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE.

IN NO EVENT SHALL WORKPAPER STUDIO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED $100.

(Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the maximum extent permitted by law.)

11. Indemnification
You agree to indemnify and hold harmless Workpaper Studio from claims arising out of your misuse of the Site or violation of these Terms.

12. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. You agree that any dispute relating to these Terms or the Site will be brought in the state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction there.

13. Changes to These Terms
We may update these Terms. If we make changes, we will update the “Last Updated” date and post the updated Terms on the Site.
