End User License Agreement (EULA)

This EULA is a legal agreement between you and Workpaper Studio LLC (“Workpaper Studio,” “we,” “us”) governing your installation and use of the Workpaper Studio Excel add-in and related materials (the “Software”).

By installing or using the Software, you agree to this EULA.

1. License Grant
Subject to your compliance with this EULA and payment of applicable subscription fees for Pro, Workpaper Studio grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal business purposes.

2. Subscription and License Scope

2.1 Subscription-only licensing
Pro features are available only with an active subscription. If your subscription lapses or expires, Pro features may be disabled.

2.2 File usability
Workpapers remain readable and editable regardless of subscription status. The Software does not lock or encrypt your workbook content based on subscription status.

2.3 Per-user use and devices
Subscriptions are intended for use by a single named user. You may install the Software on up to three (3) computers used by that same user, unless otherwise stated at purchase or in your account/receipt portal.

3. Restrictions
You may not:
- Sell, rent, lease, sublicense, or redistribute the Software
- Reverse engineer, decompile, or disassemble the Software except where prohibited by law
- Remove or obscure proprietary notices
- Use the Software to develop a competing product
- Use the Software in violation of law

4. Updates
Workpaper Studio may provide updates from time to time. Updates are not forced automatically; you control when to install new versions. Certain updates may be required for compatibility.

5. Network Activity and Telemetry
The Software does not collect background usage analytics or telemetry. The Software performs limited network requests for licensing and update-related checks, including startup and periodic license validation.

7. Ownership
The Software is licensed, not sold. Workpaper Studio and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights.

8. Termination
This EULA remains in effect until terminated. We may terminate this EULA if you materially breach it. Upon termination, you must stop using the Software and delete copies in your control. Sections that by their nature should survive (e.g., disclaimers, limitation of liability) will survive termination.

9. Disclaimers
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKPAPER STUDIO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SOFTWARE.

IN NO EVENT SHALL WORKPAPER STUDIO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE EXCEED THE AMOUNT YOU PAID FOR THE SUBSCRIPTION DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

(Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the maximum extent permitted by law.)

11. Export and Compliance
You agree to comply with applicable export laws and regulations. You represent that you are not located in a country subject to U.S. embargo, and are not on any U.S. government restricted party list.

12. Governing Law and Venue
This EULA is governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Any dispute relating to this EULA will be brought in the state or federal courts located in Cook County, Illinois, and you consent to personal jurisdiction there.
